General Conditions of Sale (GCS)

Our coaching and consulting services are offered under clearly defined terms and conditions. These terms include payment terms, cancellation deadlines, and any other important information for our clients.

1. Purpose

These General Terms and Conditions of Sale (GTCS) apply to all coaching, transformation consulting, training, and workshop facilitation services provided by Bee Transformation EURL (hereinafter "the Company") to businesses and individuals (hereinafter "the Client").

 

 

Certain clauses specifically apply to consumers as defined in the introductory article of the French Consumer Code, which is specified where applicable.

2. Acceptance of the GTCS

Any order for services implies the Client’s unreserved acceptance of these GTCS.

3. Services

The Company offers coaching and transformation consulting services, including but not limited to:

  • Individual Coaching

  • Team Coaching

  • Organizational coaching

  • Transformation consulting

  • Training

  • Workshop facilitation

  • Personalized support
     

4. Quotes and Orders

4.1. Quote

The Company issues a quote detailing the proposed services, delivery terms, pricing, and payment conditions. The quote is valid for 30 days from its issue date.

4.2. Orders

The order is considered accepted upon receipt by the Company of the signed quote and the first payment.

5. Pricing

Service prices are indicated in euros, excluding tax (excl. VAT) and including all taxes (incl. VAT) on the quote. The applicable VAT rate at the time of invoicing is added to the pre-tax amount. Any change in the VAT rate will be reflected in the final price of the services. Prices may be revised at any time, but services will be invoiced based on the rates in effect at the time of ordering.

6. Payment Terms

6.1. Payment

Unless otherwise agreed by both parties, payments shall be made as follows:

  • A 30% deposit upon ordering

  • Monthly interim invoicing

  • The remaining balance at the end of the service

6.2. Payment Methods

Payments must be made by bank transfer.

6.3. Late Payment Penalties

In case of late payment, late penalties will apply. The penalty rate is set at three times the legal interest rate in force, calculated on the total amount incl. VAT of the invoice. These penalties are due without the need for a reminder. Additionally, a fixed compensation fee of €40 for recovery costs will be automatically due in the event of late payment.

7. Terms of Service Delivery

7.1. Deadlines

The Company undertakes to meet the deadlines agreed upon with the Client, except in cases of force majeure or events beyond its control.

7.2. Client Obligations

The Client agrees to provide all information necessary for the proper execution of the services and to collaborate actively with the Company.

8. Testimonials and References

The Client may, at the Company's request, share feedback on their coaching or consulting experience and must indicate whether they agree to the use of their testimonial by the Company under confidentiality terms. If so, a release form will be signed. The Company will ensure client confidentiality by using anonymized formats such as:

  • First name, role, industry

  • Initial, role, city

  • Initial, role, company

  • First name, role, industry

The Company reserves the right to publish, maintain, or remove testimonials based on its marketing and commercial strategy.

The Company may use the Client’s (Professional) name and logo unless a written objection is made.

9. Cancellation and Rescheduling

9.1. Cancellation by the Client

  • More than 30 days before: full refund

  • Between 30 and 15 days: 50% of the total amount is due

  • Less than 15 days: 100% of the total amount is due

  • Coaching sessions: cancellation <48h = session charged

9.2. Rescheduling by the Client

Any request to reschedule a service must be made in writing at least 48 hours before the scheduled date. In the event of an unjustified rescheduling, the deposit will not be refunded.

9.3. By the Company

The Company reserves the right to reschedule or cancel a service in case of force majeure or insufficient participants. In such cases, the Client will be fully refunded for any amounts already paid, with no entitlement to further compensation.

10. Liability

The Company commits to making every effort to ensure service quality. The Company is only bound by an obligation of means (not results). The Company cannot be held liable for any indirect damages suffered by the Client, such as loss of profits or missed opportunities.

Privacy Policy

11. Confidentiality

The Company undertakes to respect the confidentiality of the information provided by the Client and not to disclose it to third parties without the prior consent of the Client.

12. Protection of Personal Data

The company undertakes to comply with the regulations in force applicable to the processing of personal data, in particular the General Data Protection Regulation (GDPR). The Client has the right to access, rectify, erase and transfer their data, which they can exercise by contacting the company.

Personal data is kept for a period of 3 years after the end of the contractual relationship for commercial purposes and 10 years for accounting obligations.
The legal basis for processing is the performance of the contract.
The Client may exercise their rights regarding personal data and request access, rectification, or deletion by contacting the company by email at contact@bee-transformation.com

13. Intellectual Property

All materials, tools, and documents provided or used in connection with the services remain the exclusive property of the Company. Any reproduction, use, or distribution, even partial, without express authorization is prohibited. Use is strictly limited to the service.

Legal notices

14. Force majeure

Any unforeseeable, irresistible and external event (strikes, pandemics, etc.) constitutes a case of force majeure.

15. Disputes

In the event of a dispute relating to the interpretation or execution of these General Terms and Conditions, the parties undertake to seek an amicable solution. Failing this, the dispute will be submitted to the exclusive jurisdiction of the courts of the location of the Company's registered office.

For any dispute with a professional client, exclusive jurisdiction is granted to the Commercial Court of Paris, notwithstanding multiple defendants or third-party claims.


16. Applicable Law

These T&Cs are subject to French law.

17. Modification of the T&Cs

The Company reserves the right to modify these General Terms and Conditions at any time. The new conditions will apply to any order placed after they are posted online.

Any substantial changes to the T&Cs will be notified to the Customer electronically or by updating the website. These changes will come into effect on the date of their publication.
